You really need to have an attorney help you with this process. Partnership law has some serious ramifications, and, if the dissolution is done incorrectly or incompletely, it can affect both you and your sister for a LONG time to come.

If the partnership was registered with the county, file a county form that you get from the County Clerk called a Dissolution of Partnership. If the partnership was registered with the State, file a Dissolution of the entity with the Dept. of State.

If the partnership was not registered with any government agency, you do not need to file any papers. However, the next paragraph applies to you, whether or not the partnership was registered with a government agency.

**VERY IMPORTANT**: PUBLISH the dissolution of the partnership. Take out an ad in the legals column in two (2) newspapers in the county in which the partnership did business and publish that you are no longer in partnership and the date on which the partnership is dissolved. Simultaneously publish the partnership's dissolution for six consecutive weeks in both newspapers. It does not need to be a long ad, it does not need (especially in your part of the state) to be terribly pricey (if you're spending more than $200 to run both ads, you're being way too long-winded). It does need to be done, since it provides the public with constructive notice of the dissolution of the partnership.
