Legal Question in Business Law in New York

I had to leave a company where I was a 40% partner in an LLC because I was not able to get a consistent draw. We had an agreement that if I paid 52K toward a LOC that we both personally guaranteed. I made this payment to the bank and am no longer on the loan. Unfortunately our agreement is in several emails but not a final signed agreement. He is now trying to add things to the agreement and has not made a payment on the AMEX which unfortunately only has my name attached. Even though I don't work there but I 'm still a 40% partner what are my rights if any at this point?
