Service Agreement

I downloaded the consulting agreement

from findlegalforms. I need an

agreement for the State of NY for I was

asked to include the following language

in an agreeement by my client. Is there

a better form to use? Please note I'm

forming an LLC.

1. The agreement does not

address whether or my company

has errors and omission coverage/

professional liability to cover client in

the event client desires to seek

recourse.

2. A consulting

agreement is needed because it would

state that my company is a complete

and �independent contractor� and that

it pays it�s own taxes, has its own

worker�s comp policy if necessary and

will indemnify and hold Buzz harmless

against any such employment tax and

practice claims that may arise as a

result of my company working for

client.

How would I add/revise the language in

the findlegalforms consulting

agreement?

forming an LLC and the associated tasks are very difficult and you should have an attorney to ensure that your company is formed properly, as well as all legal requirements are met. If you want to do this right, there are no short cuts. Your question barely makes sense.

You should retain an attorney, sit down or speak on the phone, explain what the situation is and have the appropriate documents drafted.

You need to re-type the agreement in the entirety and add in any terms that you would like or that your client insists on having.

You should have an attorney review any form in which your client is asking you to insert language, as you do not want to waive any of your rights inadvertantly.

I wanted to add a post script: a form is only that. It is a generic document that is meant to be customized. You cannot expect to form an LLC,

successfully compose an indemnification agreement, and add your company as an additional insured on an insurance policy, all in one form.

Especially without being able to see the form you are referring to, it is difficult to be more specific.

It sounds as though you need to obtain an insurance policy and prepare a consulting agreement with an indemnity clause, and specific clauses detailing who is responsible for what.

You can obtain an insurance policy with an additional insured provision,(rider) and indmniity/ other contracts coverage; plus worker's comp.
