Legal Question in Business Law in New York

virtual-switch.com has asked me to shut down my website.

I created a website, where I am writing my experiences with virtual-switch.com.

This company has my $8000 deposit and they refuse to give me my money by

sending me invoices for the services which were free in the contract. I have put

all the files like contract, email with the company on the website.

I got email from Lenn Brown, ceo of virtual-switch.com to shut my website in

24hrs, or he going to sue me and file a civil suit against me.

How can he do that? He has put fraudalant charges on invoices so that he can

keep my money and the top of that he is asking me to shut my site http://

www.virtual-switch.biz

This is a common occurrence where a company seeks to shut down a gripe site---which is what you seem to have. The problem is that the company sues you, you have to respond; but you might want to take the first step. You would do best to contact the attorney who negotiated your contract with the website suing you now to discuss your legal position and strategy. The basic problem is that you chose to go public with your complaint on your website instead of negotiating with the company you felt to be in breach of your contract or pursuing them in court. This gives the other party an option for suing you first for defamation and other related claims (not sure what the complaint alleges).

If your lawyer is not available, you would need to find a litigator familiar with defamation, tortious interference and similar business reputational torts to defend you. If you do not respond to the complaint, you will risk a default judgment against you.

Well...first off, read your agreement or get it so someone else can peruse it. Then determine if he has done anything for which you may sue him peremptorily or wait for him to sue you.
