Initially you and your partner will need to submit formation documents to create the LLC. Later you will need to obtain a tax identification number so that the LLC could issue you a K1 schedule for tax purposes. In addition, you will need to enter into an operating agreement with your American co-founder to protect both of your rights and equity in the company and clarify the responsibilities and duties each will have.

As far as a visa, having an equity stake in a US LLC does not it of itself grant you a visa, however it is a factor to be considered in the type of visa you can apply to.

Being that you are in India it is highly recommended that you retain an attorney who will represent your best interests in the new LLC. My firm has experience with international clients that have presence in the US. I can also reccomend an immigration attorney who will be able to assist you with the visa issues. Feel free to contact me directly and I will be able to help you.
