federa trademark registration

a company based in michigan had the same name as mine but im in ohio. i had just registered it as a trade name. the company went banqrupt and another company based in ohio bought some of the rights with there federal trade mark name. now since they are in ohio they want me to sign a consent for use of similar name but also have all these stipulations which i do not agree with. i want to know what my options are if any. they say they will pursue legal actions if i do not sign the consent. the name is garden way.

OK first of all, who had the name first? Did you register the name before they did? Were they in business before you, either in Michigan or in Ohio? What kind of legal actions are they threatening - that is, what are they complaining about? If you own the mark you should not have to sign any consent form, and if they own the mark why do they want you to consent?
