Legal Question in Criminal Law in Pennsylvania

A sub contractor is paying project manager a 10% cut for jobs done for the company project manager works for. I realize project manager is legally liable. But my question is, could sub contractor get in legal trouble for this too?

Unless he defraud someone or stole something, I don't see any criminal ramifications. Perhaps they had a contract where this was allowed. More information would be needed to better answer your question.
