Yellow Pages Scam?

In April of 2007 we received a phone call from a company claining to be the ''official yellow pages''. After a lengthy coversation with our new and unexperienced assistant, it appears that he agreed over the phone to advertise with this company for 2 years. We never heard anything until this past week when they called demanding payment, and late fees. They played a recording of our employee answering their questions and then stated that if we do not pay in full, they will take us to ''litigation''. We asked that they fax us an invoice, and the address is wrong, the company name is wrong, and the employee name is spelled wrong. We never even received a copy of the phone book. After research on-line, we found that ''Thomas- Hill publishing'' is known for questionable business practices. Our employee maintains that when he heard that the listing was going to cost money, he stated, ''nevermind'', but that is missing from the recording. Does this company have any right to take legal action against us?
