Legal Question in Business Law in Texas

We sold the resturant we owned, for a down payment of $15,000.00 and they had 6 month to pay the full amount, however after 5 day the people want their money back.( they did sign contract) They have a lawyer and want the full amount back however we told their we would give them $12,000 only, because they open for business and we have to pay the bills. The Lawyer wrote that there did go by the agreement, however it was just because we didn't want to give them the recipes to the food. But we told them we wouldn't. Please help.

What you can and can't do should be enumerated in the contract. If the contract allowed for a "bail out" in exchange for the fee, then you should be fine. If the contract is silent, then you're going to have a problem. Did the purchasers keep any of the sales money that they made over the five day period?
