Company name change/Information for Contract

A vendor has a Service Agreement in (A) name and they change their name to (B). What information do I need to change the name on the account or do I need a new contract if all assetts and liability are aquired? Or can a letter from the company stating the name change and that all assetts and liability be sufficiant?

Please tell me you aren't seriously going to buy a company without the assistance of an attorney. Do you fill your own cavities? Build your own house? Perform surgery on yourself lately? It is only money you're giving and potential liabilities your taking on, right.

I can't tell from the fact pattern if you are the vendor, buyer or seller. I also can't tell what your objective is and whether or not the other side is on the same page with you. Assuming everyone is in agreement, probably the easiest way would be a novation of the contract with all parties. Don't do it yourself.

Just as a precaution I would have the letter state that it is an "addendum to the contract of _____ (date) between you and ______ (the prior name)" with both of you signing it.
