Limited Liability Corp in Texas
If my name is the sole name on the EIN Tax paperwork is the company legal my own responsibility whether a verbal agreement is in place with another intity.

This issue is much more complicated than you appear to realize. You should consult an attorney to get it all sorted out before you regret allowing yourself to remain ignorant to your rights and obligations.
