what authority does an h.o.a. and mgmt company have to assess fee's if their was no certifcate of declaration register in state and mgmt company contract is only 2 yrs old signed in 2006. but fee's are being assessed to the date that I purchase my home in 2001. the

There might be some other document that gives them authority. The easiest way to find out is to ask the HOA and Management Company. Otherwise, you would need to examine all of the documents that affect title to the property.
