Legal Question in Business Law in Virginia

Personally responsible?

I signed a construction contract on behalf of a contractor doing business as a corporation, i was also responsible for overseeing the work being done. Mid job i was replaced for a completely sales role. The job was run by another employee. This made me quit the job and try to start my own business. After i left the job was not done very well and the home owner got a judgement against Myself personally, and against the corporation collectively. How can i be personally responsible for a contract entered into as an employee of the corporation when the president of the said corporation is not even able to be held personally responsible. This corporation is now defunct and i am left holding the whole debt personally, which has basically ruin my credit and my life?? Also i live out of state judgement received in.

Re: Personally responsible?

It is unclear from your question. It is somewhat dependant on how you signed the contract. While an officer signing with his/her title will likely be protected by the corporate shield, someone signing in his/her own name will likely be exposed.

I suggest that you contact an attorney for future advice.
