Dissolution of LLC

Our members have agreed to dissolve the company but two of us would like to keep it going. Two members that are withdrawing reside in Canada and the two of us that want to keep it live in the USA. Would we be advised to retain legal help with this matter? The operating areement was never signed or completed.

Yes, I think it would be wise to seek counsel. There are several interests at play: the LLCs, the two exiting members, and the two continuing members. Consider the principal place of business for the LLC (Canada? US state?) also.
