Breach of contract

I have a contract to sell a portion of an LLC that I am a member of, and the contract was supposed to be closed on March 12, 2007. Can I just return the earnest money to the buyer and be out of it, or do I have to give him notice? The LLC owns a commercial building.

I am not sure how you can expect someone to answer your question. We do not have the facts, the contracts or the complete story in front of us. Normally, you would not be allowed to breach a contract, even if you give notice that you are going to do so.

It all depends on your contract and the facts surrounding it.
