Legal Question in Credit and Debt Law in Florida

Unpaid business consulting fees and expenses.

I am a business consultant and owner of a consultancy LLC in North Miami. A client,an INC. owes my consultancy a total $37,900.00 being unpaid fees and commissions for services rendered. Here's where it gets complicated; I am a 10% shareholder (in my private capacity) of said unlisted INC. and disengaged my consulting services when I became aware that the principal shareholder was engaged in unethical and probably fraudulent business practises with the INC. He holds 52% shares but demands complete sovereignty. At the time of my departure he agreed to pay part by end January 2006(to get rid of me and my advice to mend his errant behavior)but has reneged and now I have a letter from his attorney questioning the validity of my invoices. This is clearly a delaying tactic on the part of the principal who has taken my advice to desist from his unethical/illegal activities as a personal affront and now seems intent on punishing me. Clearly the issues of my owning shares and the INC. owing my business money are separate but dependent. I need legal advice on how best to proceed. He has also ignored my request to be apprised of the INC.'s developments when he informs the other 2 non-executive shareholders. How do I proceed please?

There are only two choices. First, accept you lost the money and do nothing. Second, retain an attorney to represent your interests. This case is going to involve extensive lititation and will be expensive. If you want to consult my firm, please feel free to contact my office at 305.860.1221.
