Legal Question in Business Law in Florida

Our business signed a contract with a computer programmer in Feb 2013 to build custom program for our growing business. The contract reads" 4-6 weeks to complete and no payment until project complete" It is now Nov 2015 and after several delays from the programmer the project is still not running 100%. There are still updates needed and our employees were still getting error messages when using the program. On Oct 25 2015 the programmer locked the program, making it unusable. He locked because he wants to get paid even though the program isn't 100% working correctly. It has our data on the patients we help. Data which includes medical records, social security numbers and other important information. We have no access to the data and aren't able to run the business. He also made up at the last minute a form he wants us to sign before he gives us the source code, on a cd, which unlocks the program. The form he wants us to sign relieves him from any problems the program has in the future. What are our options?

You would need to bring action in court for him to open the program and determine the rights of the parties. Unfortunately this could take many weeks to resolve in court with the resulting expense. In the alternative , hire someone else and start over.
