Florida Statute 617 governs not-for-profit corporations in the state.If a corporation filed articles of incorporation for a not for profit corporation and they did not meet FS-617, is the corporation a legal or valid corporation?

The FL corporation statutes are relatively simple with which to comply. Because you
do not specify the reasons for non-compliance, it is difficult to provide advice. The
articles must be prepared, executed, and filed with the Dept of State, Div of Corp.
If the articles were not accepted, it is likely for a basic reason which would render
the articles incomplete and the corporation invalid.
