What are my legal responsibilities if I become an officer/partner in a company that will be registered LLC?

Todetermine your rights, responsibilities and liabilities regarding the LLC you can start by reading 1. The official code of georgia. The statutes provide default rights and responsibilities to LLC officers and owners; and 2. The articles and bylaws of the company.

Before agreeing to take on the responsibilities of a LLC you should either read the code and company documents or seek the advice of counsel. I advise small businesses in these areas.

Your responsibilities will differ greatly depending on whether you are an owner of the LLC or not. Either way you will owe a duty of loyalty to the company. However, if you are an owner you will owe a fiduciary duty (as well as contractual duties) to both the company and the other owners. You will also have a responsibility to the IRS for certain company taxes. You might also have some liability to creditors if you personally guarantee a debt or if the LLC is not set up and run properly (piercing the corporate veil).
