Legal Question in Business Law in Georgia

When is LLC official?

I have submitted LLC paperwork to state for registration. However, it is going to take at lease 2 to 3 weeks before the LLC is officially registered by the state of GA. Must I wait until the LLC is officially registered before doing business under the LLC name or entering into a contract on behalf of the business/LLC? Or can I conduct business on behalf of LLC either as D.B.A. or with informed consent of other parties of LLC status?

Re: When is LLC official?

The LLC is official as of the date it is officially filed with the Secretary of State's office. However, agents of the LLC may act on its behalf before that date with the idea that it will become official. However, such actions can raise personal liability issues should the LLC not officially organize.
