Problems with Developers

We live in a small assosciation, 8 planned homes, only 6 being built so far and only 5 being sold. The community has been established for approximately for 5 years.

They have never sent out assessments to use and now want to collect all back dues. They also never have established a HOA.

Can you tell me what we need to do to take over the HOA and if we are liable for the back assessments?
