The process for incorporation varies from one state to another. In most instances you can incorporate in a different state from the one where your business is headquartered. There are often very good reasons to do so.

Helping you decide where and how to incorporate is a significant task. I agree with Mr. Tracy that it is far too much to ask of a free service like this website. You should retain an American lawyer to advise you. If you already know where you want to put the office, you should hire someone in that area.

I agree with the other counsel. You need to hire counsel in the location where you intend to open your office and/or incorporate.
