Legal Question in Business Law in India

Sir,

I have to enter into an agreement for doing business with a company on the following conditions.

a) I need to pay a sum of rs.40 lacs towards the movable property, which is outright sale of the items like chairs, tables, ac, fans, etc.

b) I am allowed to use the existing premises for running the business for next 6 years.

c) I can use the Brand name of the business.

d) For using the premises and brand name, I need to pay 1 lac monthly to the seller.

e) The premises is not owned by seller, but is leased out property.

f) The owner of the property is not ready to sublease the property, hence not ready to change the lease agreement in vogue.

My question is "What should be the agreement and its type to enter with the seller?"
