Legal Question in Business Law in New Hampshire

LLC members

Can I have an LLC member who has 0% stock in the company without needing legal paperwork? Also, as owner of the LLC, can I add and remove members as I wish?

Re: LLC members

An LLC is a complex creature of statute. I would need to examine the Operating Agreement to determine the rights of the members. Generally, an LLC does not issue "stock." It issues "membership interests." There may be various classes of membership interests and there may be different rights to participate in governance of the entity. I would urge that you consult with an attorney who can review all of the legal documentation and determine how best to address the issues you present.
