Legal Question in Business Law in New York

please help....i'm dumb

I opened a communications business 2 years ago and didnt do much with it. i never closed it or filed with the IRS. Is the company still open? and what do i need to do to start operating again?

Dear sir or madam:

You dept of state and IRS requirements depend on what you mean by "opened" a business. Did your form with the Dept of State? Did you obtain a tax ID number? Have you filed any tax returns for the business?

If you haven't wound it up, it's still in existence. You likely have missed a number of mandatory filing requirement deadlines for both taxes and annual reports. None of this is fatal and you should either do something with the company or wind it up. If you'd like to discuss what is involved feel free to give me a call.
