LLC Articles of Organization

I am Drafting the Articles of organization. There are 2 organizers. Are the organizers also the filers on the second page OR is the attorney the filer? (I am a new attorney and there doesnt seem to be much guidance provided regarding the form) Thanks.

There are really any number of ways you can do this. I typically serve as the organizer for my clients, however, if you like or your clients like you can list them as the organizer (i.e. the signatory) and then list the attorney on the backer -- in NYS it is the address on the backer to which the filing receipt (and any copies, certified or otherwise requested with the filing) will be sent. Alternatively, you can list your clients as both organizers and the contact on the backer -- and the materials will go to them. Regardless of which of the 2 last methods you may chose, if you so chose, you now need the client's signature on the filing -- this can of course result in time lost and, potentially, the sought-for name becoming unavailable.
