How to desolve your board of directors

This question is regarding a business that was set up as non profit by my brothers wife. My brother and his wife are currently in the midst of a divorce and he did not realize that all of his board members are the family members of his soon to be ex-wife. Is ther anyway to desolve this board and appoint a more diverse group of board members? If so what are the necessary steps to do this?

Re: How to desolve your board of directors

You need to look at the Bylaws or Code of Regulations for the company and see what it says about conducting a meeting and replacing Directors. Unless it is a Membership organization, the Directors would vote on new Directors so that group will control who gets on as a Director. If it were a membership organization, you would call a meeting of the Members to elect Directors in accordance with the Bylaw provisions.
