How do you go about dissolving a S-Corp

To dissolve a corporation in the state of Rhode Island you can simply not file the annual report and thereafter the corporation will be revoked. This however is not the preferable or right way to dissolve a corporation. The proper method is to go through the formal dissolution procedure which requires obtaining a letter of good standing from the RI Division of taxation and then filing Articles of Dissolution with the letter of good standing in the Secretary of State's office. Prior to filing the paperwork a special meeting of the officers and shareholders of the corporation should be held where the dissolution will be proposed seconded and then voted upon. This is a moderately difficult procedure and should be done by an attorney unless you have significant legal or corporate experience.
