No. Your question is too general. Pay an attorney to draft an agreement that is tailored to your particular circumstances, one that will stand up in court.

You can find some very basic sample forms at http://www.findlegalforms.com/. A better practice is to consult a business attorney so that the Agreement will accomplish exactly what you want it to do.
