My guess is that there is a very good chance he is breaching a contract, but it would be impossible to say without seeing the contracts with BOTH companies.

Any franchise attorney will say it is standard practice to have in-term noncompetition covenants in franchise agreements. This means he would be breaching his current agreement. But, as the other attorney mentions, an examination of the current and proposed contract is in order and should not take very long. Consult with a franchise attorney for specifics.
