Legal Question in Business Law in California
CA foreign registration
scenario: DE LLC was dissolved, foreign registration in CA was canceled, management identified the filing as a mistake and submitted an approved and conformed cert of correction to reinstate the DE LLC which voided the dissolution. DE LLC is now clear.
In CA, is there a way to correct the cert of cancellation (to void it, compared to DE) or do you have to simply file a new cert of registration? The DE LLC who was qualified in CA continued doing business...
