HOA BOD files lawsuit against city

Can the BOD of an HOA file a lawsuit against a city without a vote of it's members?

With very few exceptions, the answer is yes. The Board of Directors of an HOA is given very broad discretion to run the affairs of the complex.

If the membership objects to the decision of the BOD, it can always schedule a special meeting and vote to recall them.
