Methods of publication of bylaws

If an organization posts updates of its bylaws on its website, does that serve as a legally binding method of publication that will stand in a court challenge?

Re: Methods of publication of bylaws

Publication is not usually an issue, and ironically the question of sufficient notice would be governed by the by-laws (in the first instance). Ordinarily, when a corporation is organized, there are a number of post-incorporation steps (e.g., issuance of stock, election of directors, adoption of by-laws, banking resolutions). Therefore, the original by-laws are part of the corporate book and govern all subsequent actions. If you are asking about publication of CHANGES or revised by-laws, then you would use the notice procedures specified in the original by-laws.

Please follow up with any questions that you may have. Best wishes,
