contract with dissolved corporation

would a contract be valid if the corporation the contract was with was dissolved in 2004 and we were not advised that it had been dissolved ?

Under those circumstances, you may have a lot of options on how to proceed. If you want to terminate the contract, you can do so. Since it was not a valid corporation, the officers of the corporation may be individually liable. Of course, if you want the contract to remain, that is an option as well. However, if that is your desire, there are certain things that you should do now to protect yourself. If you do not take certain actions now, you could be waiving your right to raise those claims later.
