Legal Question in Business Law in Florida

Florida corporation fiduciary duty of officers?

Hello, Florida attorneys - I'm a California attorney drafting a complaint here, which tangentially involves a Florida corporation. Do corporate officers under FL law owe a fiduciary duty or other duties to the corp and more importantly to other officers? Thanks for any info. I looked at the statue itself, but it didn't specify anything in the officers sections.

yes-but the case law determines (based on

facts) what that duty is to the corporation. If you need help e-mail me your phone # to discuss further.
