What are the essential elements the court looks for in determing if a partnership exists?

The court would turn its attention to Florida's Uniform Partnership Act and the elements set forth in the Act, facts that would indicate the parties had a partnership agreement, the course of dealing between the parties and any and all relevant documentation that would flush out the truth about the facts of the case. An agreement, oral or written to share profits & losses of a business and proof of such agreement.
