Service Contract

Does this mean I can or can't hire a sub-contractor?

Binding. This Agreement shall inure to and bind the successors, assigns and representatives of the parties, providing, however this Agreement may not be assigned by Contractor without the prior written consent of Owner. Owner may assign this Agreement without the prior written consent of Contractor.

Get the owner to agree in writing that you may subcontract out A, B and C work to XYZ company. The intent is that the owner doesn't want you to sub out work to someone that may not have good credentials without his opportunity to approve the sub.

It depends on what the obligations you are subcontracting. You should have a local business attorney review the entire contract before hiring the sub. Of course, you could get the owner's consent either way.
