how can i get out of a LLC corporation

last year I went into business with two other partners to buy and sell equipment overseas. I have been doing all the work and we all get equal share of the profit basd on the llc documents. well I am not willing to continue with the business and ask the other partners out they refuse and tell me that i keep working with them.

Putting aside legalities for a moment, you need to give thought to your desired practical outcome: if you were no longer associated with the LLC, would you expect the customers to (i) stay with the company, or (ii) follow you, or (iii) simply find another provider of services?

If (i) then you are simply seeking a buy-out of your interest and you will need to find something else to do for a living. If (ii), then it is the other members of the LLC who would be chasing you for compensation as you would have appropriated assets of the LLC (namely, the customer relationships). If (iii), then you can basically leave any time and all members of the LLC will lose since it becomes a worthless company.

Other replies are correct that there are likely procedures in the LLC documents (or else in the LLC statute) that will govern the legal rights of the parties. But usually the legal positions are only there to supply a result when the members of the LLC are incapable of finding some agreed way to resolve the problems encountered in the relationship; the legal result is seldom desirable for all parties and often benefits none of them.

If you can not find the procedure contained within the LLC Operating Agreement for you to withdraw and sell back your shares, retain an attorney to assist you. Good Luck!

You do not really ask a question. I would suggest that you contact an attorney and bring him all your information, including a copy of the Operating agreement and any other agreements you have signed.
