Legal Question in Intellectual Property in Massachusetts

I'm looking into starting a small startup online clothing company... The concept is we would be selling "pre-owned or pre-loved" tops. We would first purchase these tops from a goodwill or salvation arm, alter them to current trends and re-sell. What are the laws for reselling merchandise? Please send as much info as you can! As a Franchise Attorney I need to advise you of the following. A manufacturer, including clothing manufacturers, have an absolute right to control the distribution and sale of their merchandise - including used merchandise resold for a profit. If they discover what you're doing, and especially since you're doing this as a business, you can be sued. This is happening increasingly on sites like eBay and Craigslist. Consult with a good business or franchise attorney in your area for specific advice.
