Breach of Contract Unjust Enrichment

As a software consultant (through my S corp), I was hired by a friend's company to build a custom solution that was to be done in 3 months. Because my friend was off doing other things at the time and her employees did not want the system implemented they withheld information making it impossible to hit deadlines. My friend acknowledged this. I spent an add'l 6 months on the project working on site gathering requirments and took on much of their project manager and system administrators duties. I was told to just keep track of my time and would be paid later. Because the project kept dragging we agreed to call it even as far as my not completing a piece of the project in liu of the money owed to me. After a falling out with my friend another company was brought in and they said that the system needed to be completely rebuilt so now they are suing me for all money they ever paid me. Keep in mind that the new company used all the requirments I spent over a year collecting. Also, the system I built was perfectly feasible. Where does the law side as far as not providing info for a company to complete a project and the unjust enrichment they received for services? Lastly, they used the pieces of the system I built for 1.5 years. Thanks

From what you've written, you have viable defenses and probable counter-claims. I strongly suggest hiring counsel and defending this properly so that all of the counter-claims can be litigated.
