Legal Question in Civil Litigation in Ohio

In a Lot Owners Association, can an ammendment to the original covenants allow the Association to charge a late fee if annual dues are not paid on time? We have an owner who contends that amendments cannot be made more restrictive. A majority of the lot owners signed the amendment, approving the right to charge a late fee, and ultimately a lien. Who is in the right?
