beneficiary to ins. policy's and shares

cousin passed 3 years in January, had no will. I was appointed beneficiary of policy. I knew at time of demise there were shares, co asked if I wanted them placed in my name, said no just pay off of everything. Now I recieve a letter stating it was not handle and that he needs a estate represenative. when he filled out ins. info it had to be correct because of the shares involved. Now, the company new at time of demise that there was no will and talked to me about the shares inreference to the policy, how I wanted it handled. Can the ins. co get away with this.
