Legal Question in Civil Litigation in Virginia

invoiced without agreement

An associate/ friend volunteered to assist with our website by demonstrating the features and functions of how to set it up. (They are not a website design company). We worked on the final segments jointly. They did some preliminary mock ups and we completed it over 5 months ago. When we asked what would be satisfactory for their volunteered assistance, the reply was very precise:'a gift for my birthday'(December)There was never any discussion of a fee or written agreement presented or signed. Personal social differences (on their part) transpired from the time we finished the site shortly before the birthday. They ceased communication. And no gift was sent. An invoice for payment due was sent to our attention demanding monies for their ''Design Company''(?)'website design services'? We don't believe the invoice weighs any merit based on the oral agreement/request for a ''birthday gift'' for their assitance. We are inclined to provide their requested means of appreciation pursuant to our original oral agreement (which was a birthday gift). The invoice, although we believe to be a personal retaliation, demands monies that were never verbally discussed, contractually signed, or agreed upon. What's the proper way to close this issue?

Re: invoiced without agreement

Follow through with your inclination, i.e., the gift.
