I am a little confused.

You've taken the website down, you say? That, to me, means that the website is no longer live on the web. If there's nothing there, what is the company updating?

Take a look at your contract with this company in the REMEDIES section; it should spell out what happens in the event of a material breach (nonpayment of fees is probably a material breach of this contract). If allowed in the contract, your simply changing the password would very likely get the maintenance fees paid -- and promptly, too.

The law of your home state (wherein I am not admitted to practice) governs contract law and what's recoverable or not.
