Legal Question in Business Law in California

Business contract

I need to create an agreement between my company and the manufacturer of the products that I am reselling.. I will be reselling the other companies products and I want to structure an agreement that will protect my clients from going direct to the manufacturer and bypassing me. I also want exclusivity in the area that I am selling. What is the best contract for this?
