How often? Every time the facts and operation of the organization requires them, and a minimum of once per year.

Limited Liability Companies (LLCs) in California are not required to maintain minutes; however, if specified in the organizational documents they may become mandatory. If kept, they can be in the same form as corporate minutes. Basically, I like the idea of stating the business purpose behind the decision and setting forth any parameters and authorizations for the minute item. If maintained, there can be an annual set of minutes memorializing all major decisions for the year and approving them. Also, sometimes, you'll find a bank or entity that will just insist on a written resolution document and you can't shake them loose from the idea.
