Contracts between principals of a corporation

As a principal and half owner of an S corporation, may I legally enter into a contract with the corporation? The purpose of the contract is to define compensation for the assignment of a patent and time and expenses spent both in the past and future in the development of the patent.

The usual answer is that you can enter into a contract with the corporation unless you are taking advantage of your position with the corporation. I'd expect Colorado law to follow that rule.
