Legal Question in Business Law in Colorado

Can I move out merchandise?

We are thinking about to file a lawsuit in court. My wife is the 50% owner of Rocky Mountain Imports LLC. She has a business partner who also owns 50% of the company. We delivered plenty of merchandise into the warehouse. Yesterday the business parner changed the lock of the warehouse, now we can not get into the warehouse to access the merchandise. The partner rented the warehouse. We don't know the lease is under his name or company's name. Can we change the lock of warehouse, get into the warehouse and move out merchandise? I apprieciate.

Re: Can I move out merchandise?

Be careful about self-help measures such as going in and changing the lock or trying to take the items.

You should contact the partner and try to resolve the issue and get any resolution and your rights in an agreement. If that is not possible, you may need to file suit under "replevin" and you could sue the partner derivatively on behalf of the LLC. Proceed carefully and talk to an attorney because mistakes at this stage are very costly long-term. Good luck.
