Legal Question in Business Law in Florida

Hi,

I am in bit of a loop, I was added in a company as manager/member on Dec 2010. This company owns a building in another state now the actual owners are trying to sell this building but mean while they have a mechanical lien that was file and a law suit against the company who owns the building.

I didn't think it would be this stressful putting my name on the company as a favor to a friend. I am now looking to revome my name from this company completely and want nothing to do with this company legally because they are now telling me I need to present my self in court for this lawsuit.

Is is possible to revome my name legally from this company while there is a lawsuit pending? They told me that because the lawsuit is pending I can't revome my name yet, plaintiff wants to know who I am to the company etc, etc.

I need to know what can be done to revome my name from this company completely and not be in ant kind of issues in the future?

They now want to sell the building and want to sign the contract but I don't want to because I want my name out.

Please advise.

Thank you,

Milly

There are not enough facts given to answer this question fully. If you are a corporate officer, you have to look to the bylaws of the corporation in order to find out how to resign.
