Legal Question in Employment Law in Georgia
I work for an American publicly listed corporation. I would like to know if the distribution of equity awards(stock options and restricted stock) are subject to fairness from a legal standpoint. Is a company obligated to disclose to its employees the distribution methodology(who is eligible and the criteria for who is granted the award).

Generally no, unless you have a contract stating otherwise or there is a company policy stating otherwise. There is no general right or entitlement to "fair," or to get options, stock, bonuses, severance, etc.
